Terms of Service

Please read these Terms of Service ("Terms", "Agreement") carefully before using the Dokky platform. By accessing or using the Service you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

1. Definitions

  • "Company", "we", "us", "our" — refers to the operator of the Dokky platform, registered in Ukraine.
  • "Service" — the Dokky web application available at dokky.com.ua and dashboard.dokky.com.ua, the Dokky API, the Dokky Telegram Bot, and any associated mobile applications.
  • "User", "you", "your" — any individual or legal entity that creates an account or uses the Service.
  • "Tenant", "Organization" — a workspace within the Service representing a legal entity, team, or company.
  • "Content" — any data, files, documents, images, text, or other materials uploaded, submitted, or generated through the Service.
  • "Subscription Plan" — a paid or free tier of Service access with defined usage limits and features.

2. Description of Service

Dokky is a B2B SaaS platform providing AI-powered invoice processing services, including but not limited to:

  • Optical Character Recognition (OCR) of invoices, receipts, acts, and other financial documents.
  • Automated product matching and supplier management.
  • Price monitoring, analytics, and anomaly detection.
  • Integration with third-party ERP systems (Syrve/iiko, 1C/BAS, StoreHouse 5), banking systems (Monobank), and electronic document management (EDO).
  • AI-powered conversational analytics assistant.
  • Telegram Bot for document upload and notification delivery.

The Service is designed for businesses operating in the HoReCa, retail, and SMB sectors, primarily in Ukraine, the EU, and the UAE.

3. Eligibility

  • You must be at least 18 years of age to use the Service.
  • You must have the legal capacity and authority to enter into this Agreement on behalf of yourself or the entity you represent.
  • The Service is intended for commercial / business use. Consumer protection laws may apply depending on your jurisdiction.

4. Account Registration

  • You must provide accurate, current, and complete registration information and keep it updated.
  • You are solely responsible for maintaining the confidentiality of your account credentials (email, password, API keys).
  • You must notify us immediately at info@dokky.com.ua if you suspect unauthorized access to your account.
  • One natural person or legal entity may not maintain more than one free account. We reserve the right to merge or suspend duplicate accounts.
  • You are responsible for all activities that occur under your account.

5. Acceptable Use

You agree not to:

  • Use the Service for any purpose that is unlawful or prohibited by these Terms, or that violates any applicable local, national, or international law or regulation.
  • Upload, transmit, or store any Content that is illegal, fraudulent, defamatory, obscene, or that infringes on the intellectual property or privacy rights of any third party.
  • Upload malicious files, malware, viruses, or any code designed to disrupt, damage, or limit the functionality of the Service.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service.
  • Use automated means (bots, scrapers, crawlers) to access the Service except through the officially provided API.
  • Resell, sublicense, or redistribute the Service or any part thereof without our prior written consent.
  • Process documents that you do not have the legal right to possess or process.
  • Use the Service in a manner that could overload, impair, or compromise the infrastructure or interfere with other users' experience.

We reserve the right to suspend or terminate your access if we reasonably believe you are violating these restrictions.

6. Data Processing & AI Providers

Documents uploaded to Dokky are processed using AI / machine learning models. To provide OCR and analytics, we may transmit your Content to the following third-party AI providers:

  • Google (Gemini Flash / Gemini Pro) — primary OCR provider.
  • OpenAI (GPT models) — alternative OCR provider.
  • Anthropic (Claude) — alternative OCR provider.
  • Groq, OpenRouter, MiniMax — additional OCR providers.

These providers act as data processors on our behalf. We select providers whose terms prohibit the use of customer data for model training. Your Content is transmitted for processing only and is not stored by AI providers beyond the processing session, subject to their respective data processing commitments.

You acknowledge that AI-generated results (extracted text, product matching, analytics) are provided on a "best effort" basis and may contain inaccuracies. You are responsible for verifying the accuracy of all AI-generated output before relying on it for business decisions.

7. Subscription, Billing & Payments

  • The Service offers both free and paid Subscription Plans. Feature availability and usage limits vary by plan.
  • Paid subscriptions are billed in advance on a monthly or annual basis. Annual plans include a discount as published on our pricing page.
  • Payment is processed through Stripe and/or LiqPay. By providing payment information, you authorize the applicable payment processor to charge your payment method.
  • All fees are quoted in Ukrainian Hryvnia (UAH) unless stated otherwise. Prices are inclusive of VAT where applicable.
  • You may upgrade, downgrade, or cancel your subscription at any time through the billing section. Cancellation takes effect at the end of the current billing period; no pro-rata refunds are issued for partial periods.
  • If payment fails, we will attempt to charge your payment method up to 3 times over 7 days. If payment remains unsuccessful, your account will be downgraded to the free tier.
  • We reserve the right to modify pricing with at least 30 days' written notice to your registered email. Continued use after the price change constitutes acceptance of the new pricing.
  • Add-on services (extra invoices, additional OCR quotas) are billed separately as described on the pricing page.

8. Free Trial

We may offer a free trial period for paid plans. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires. We will notify you before the trial ends.

9. Intellectual Property

9.1. Our Property

The Service, including its design, code, algorithms, trademarks, logos, documentation, and all related intellectual property, is and remains the exclusive property of the Company. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

9.2. Your Content

You retain all ownership rights to the Content you upload or create through the Service. By using the Service, you grant us a limited, non-exclusive, worldwide license to process, store, transmit, and display your Content solely for the purpose of providing and improving the Service.

We do not sell, rent, or share your Content with third parties for their own commercial purposes. Aggregated, anonymized analytics data (that cannot identify you or your organization) may be used to improve the Service.

10. Confidentiality

Each party agrees to treat the other party's confidential information with the same degree of care as it treats its own confidential information, but in no event less than reasonable care. Confidential information includes, but is not limited to: business data, financial records, invoices, supplier lists, pricing information, and API keys.

11. Data Ownership & Portability

  • Your data belongs to you. We do not claim ownership of any Content you upload.
  • You may export your data at any time through the Service's export functionality (CSV, Excel).
  • Upon account termination or written request, we will provide a machine-readable export of your data within 30 calendar days.
  • After account termination, your data will be retained for 30 days for recovery purposes and then permanently deleted, unless we are legally required to retain it.

12. Service Availability & SLA

  • We aim for 99.9% uptime (excluding scheduled maintenance). Uptime is calculated on a monthly basis.
  • Scheduled maintenance will be announced at least 24 hours in advance via email or in-app notification and will be performed during low-traffic hours (UTC 02:00–06:00) where possible.
  • We are not liable for downtime caused by: (a) force majeure events (natural disasters, war, pandemics, power outages); (b) third-party service failures; (c) your internet connectivity; (d) actions by governmental authorities.
  • In the event of prolonged unplanned downtime exceeding 24 consecutive hours, affected paid subscribers may request a pro-rata credit for the downtime period.

13. Security

We implement industry-standard security measures including:

  • TLS 1.2/1.3 encryption for all data in transit.
  • AES-256 encryption for data at rest.
  • Multi-tenant data isolation using PostgreSQL Row-Level Security (RLS).
  • Bcrypt password hashing with per-user salts.
  • JWT-based authentication with short-lived access tokens and refresh token rotation.
  • Regular automated backups with point-in-time recovery.
  • Rate limiting and DDoS protection.

While we take reasonable precautions, no system is completely secure. We cannot guarantee absolute security. In the unlikely event of a data breach, we will notify affected users within 72 hours in accordance with applicable law (GDPR Art. 33/34).

14. Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED RESULTS.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM OCR OR AI PROCESSING WILL BE ACCURATE OR RELIABLE; (C) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR UAH 5,000, WHICHEVER IS GREATER.
  • THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) Content you upload or process through the Service.

17. Suspension & Termination

17.1. By You

You may cancel your account at any time from the Settings page or by emailing info@dokky.com.ua. Upon cancellation, your paid subscription will remain active until the end of the current billing period.

17.2. By Us

We may suspend or terminate your account immediately, without prior notice, if: (a) you breach these Terms; (b) we are required to do so by law; (c) we reasonably believe your account is being used for fraudulent or illegal activity; (d) you fail to pay applicable fees after the grace period.

17.3. Effect of Termination

  • Upon termination, your right to use the Service ceases immediately.
  • We will retain your data for 30 days. During this period, you may request a full data export.
  • After 30 days, all your data will be permanently deleted from our systems and backups, except where retention is required by law.
  • Sections 9 (Intellectual Property), 10 (Confidentiality), 14 (Warranty Disclaimer), 15 (Limitation of Liability), 16 (Indemnification), 19 (Governing Law), and 20 (Dispute Resolution) shall survive termination.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes by: (a) posting the updated Terms on this page with a new "Last updated" date; (b) sending an email to your registered address; (c) displaying a prominent notice within the Service.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you disagree with the changes, you must stop using the Service and cancel your account before the changes take effect.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ukraine. For users within the European Economic Area (EEA), the mandatory consumer protection provisions of your country of residence shall apply to the extent they provide greater protection.

20. Dispute Resolution

  • Amicable Resolution: Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at info@dokky.com.ua. We will endeavor to resolve the dispute within 30 days.
  • Jurisdiction: If informal resolution fails, any dispute arising from or relating to these Terms shall be submitted to the competent courts of Ukraine (the commercial courts of Kyiv for B2B disputes, or the court of your residence for consumer disputes within the EEA).
  • EU ODR: Users within the EU may also utilize the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

21. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and any Subscription Plan terms, constitute the entire agreement between you and the Company regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, pandemic, government actions, power outages, or internet failures.
  • Language: These Terms are available in English and Ukrainian. In the event of a conflict between versions, the Ukrainian version shall prevail.
